Terms of Use & Locker Owner Agreement
1. Acceptance and Incorporated Policies
These Terms of Use and Locker Owner Agreement form a binding agreement between the individual or organization using the services (“Locker Owner,” “you,” or “your”) and My Sports Lockers Inc. (“MSL,” “we,” “us,” or “our”). By creating an account, submitting an application, opening or using a Sports Locker, posting content, buying, selling, trading, or otherwise using MySportsLockers.ca, you agree to these terms.
The Privacy Policy, Marketplace Rules, Fee Schedule, Shipping Policy, Returns and Refunds Policy, Community Guidelines, Founder Agreement, and any feature-specific rules are incorporated by reference when made available.
2. About the Platform and Our Role
MySportsLockers.ca provides digital Locker, collection-display, marketplace, community, and promotional tools for sports collectors. Unless expressly stated otherwise, MSL is the platform operator and is not the owner, seller, buyer, appraiser, insurer, authenticator, or shipping carrier for member-listed items.
Transactions are generally between members. MSL may provide payment coordination, communications, support, verification, dispute tools, QR links, and promotional services.
3. Eligibility and Canadian Use
- You must have legal capacity to enter a binding agreement.
- You must provide accurate identity, contact, banking, tax, and residency information when requested.
- Marketplace selling and Founder participation may be restricted to approved Canadian residents.
- You may not use the platform while suspended, terminated, or legally prohibited from doing so.
4. Accounts, Identity and Security
You are responsible for maintaining accurate account information and protecting passwords, devices, and account access. Notify MSL promptly of suspected unauthorized access, fraud, or identity misuse.
MSL may request identity verification before allowing listings, payouts, account recovery, QR-code reactivation, Locker transfer, Founder benefits, or access to sensitive features.
5. Sports Locker Types and Control
A Sports Locker is a digital area made available through the platform. Available settings may include:
- Private Locker: intended for personal organization and limited visibility.
- Public Showcase Locker: displays collection content without necessarily offering items for sale.
- Public Marketplace Locker: may display listings and allow buying, selling, or trading.
“Locker ownership” means the approved right to operate and control a Locker under this agreement. It does not transfer ownership of the MSL platform, software, domain name, trademarks, database, or technical infrastructure.

6. Member Content, Photographs and Listings
You retain ownership of content you create, but grant MSL a non-exclusive, worldwide, royalty-free licence to host, reproduce, resize, display, distribute, and promote that content for operating and marketing the platform and your Locker.
- Listings must be accurate and complete.
- Defects, reproductions, alterations, missing pieces, and authenticity uncertainty must be disclosed.
- You must own or have permission to use all uploaded photographs and descriptions.
- Public content may be indexed, linked, copied, or shared by others.
7. Authenticity, Counterfeits and Item Legality
Counterfeit, stolen, illegally obtained, unlawfully altered, or prohibited items may not be listed. You must have the legal right to possess and transfer every item you offer.
Unless MSL expressly provides a written authentication service, MSL does not guarantee authenticity, grade, provenance, condition, value, legality, or marketability.
8. Buying, Selling and Trading
Buyer Responsibilities
- Review listing details, condition, price, shipping, and return terms.
- Provide accurate payment and delivery information.
- Pay promptly and use approved communication channels.
- Report material issues within the published dispute period.
Seller Responsibilities
- Maintain possession or authorized control of listed items.
- Honour completed sales and avoid unavailable listings.
- Package safely and ship within the stated time.
- Cooperate with returns, refunds, payment reviews, and disputes.
9. Prices, Fees, Taxes, Payments and Payouts
Membership charges, selling fees, payment-processing fees, promotional charges, and other amounts will be disclosed in the current Fee Schedule or before completion of a transaction. Fees may vary by membership or Founder status where allowed by the applicable agreement.
You are responsible for your own tax obligations. MSL may collect, withhold, report, or remit amounts where legally required. Payouts may be delayed for verification, disputes, chargebacks, returns, fraud prevention, reserves, or legal compliance.

10. Shipping, Delivery and Risk of Loss
Sellers must follow the Shipping Policy, package items appropriately, and use the approved delivery address. Buyers must provide a correct and secure delivery location.
Members should retain tracking, receipts, photographs, and packaging until the transaction and dispute period are complete. Delivery estimates are not guarantees.
11. Returns, Refunds, Chargebacks and Disputes
Returns and refunds are governed by the listing, the posted Returns and Refunds Policy, and applicable law. Nothing in this agreement removes non-waivable consumer rights.
MSL may facilitate communication, hold funds, request evidence, issue or require refunds, restrict accounts, or make a platform decision under the applicable policy.
12. Collection Value and Valuation Disclaimer
Any displayed estimate, comparable sale, price history, collection total, or automated value is for general information only. It is not a certified appraisal, investment recommendation, insurance valuation, tax opinion, or guarantee of resale value.
Collectible values can change based on authenticity, condition, scarcity, provenance, demand, grading, and transaction costs. Obtain professional advice where a formal valuation is required.
13. QR Codes, Business Cards and Promotional Tools
MSL may provide QR codes, Locker links, badges, business-card designs, and promotional tools. These may only be used for the approved Locker and must not be altered or presented misleadingly.
You may not imply that MSL authenticates, guarantees, sponsors, owns, or insures your collection unless written authorization has been provided.
14. Founder Program and Special Status
Founder selection, trial participation, benefits, recognition, fees, transferability, conduct, suspension, and reinstatement may be governed by a separate Founder Agreement.
Founder status does not create employment, partnership, agency, franchise, fiduciary, joint-venture, or corporate ownership rights unless expressly stated in a signed corporate agreement.

15. Legacy, Estate and Locker Transfer
A Locker may help document a collection and its history, but it is not a will, trust, title registry, insurance policy, or legal appraisal.
Any transfer of a Locker, account, QR code, membership, Founder status, or related benefit requires prior written approval from MSL, identity verification, acceptance of current agreements, and compliance with applicable law.
Locker Owners should obtain independent legal, tax, insurance, appraisal, and estate-planning advice when preparing to pass a collection or digital records to another person.
16. Prohibited Conduct
- Fraud, deception, counterfeit sales, false reviews, or payment manipulation.
- Harassment, threats, discrimination, stalking, or publication of private information.
- Malware, scraping, credential theft, or unauthorized security testing.
- Fee avoidance or directing active marketplace transactions off-platform.
- Intellectual-property infringement or misuse of another member’s content.
- Sale of illegal, stolen, unsafe, recalled, or prohibited goods.
- Manipulation of search placement, sale data, collection values, or marketplace metrics.
17. Intellectual Property and Brand Use
The platform, software, design, databases, text, graphics, logos, badges, trademarks, and documentation are owned by or licensed to MSL and protected by law.
You receive a limited, revocable, non-exclusive, non-transferable licence to use the services for their intended purpose. You may not reproduce, reverse engineer, resell, frame, scrape, distribute, or create derivative works from protected MSL materials without authorization.
18. Third-Party Services and Links
The platform may rely on payment processors, shipping carriers, analytics providers, social platforms, hosting providers, and other third parties. Their own terms and privacy practices may apply. MSL is not responsible for third-party acts or omissions except where required by law.
19. Beta Features, AI Tools and Automated Content
Beta, trial, preview, or Founder-testing features may be incomplete, changed, limited, or discontinued. Maintain independent backups of important collection records and transaction information.
Artificial-intelligence or automated tools may assist with descriptions, categorization, pricing information, image processing, moderation, or support. Such output may be inaccurate. You remain responsible for reviewing and correcting all content before use.

20. Privacy and Communications
Personal information is handled according to the Privacy Policy. Necessary account, security, transaction, policy, and legal notices may be sent electronically.
You may unsubscribe from promotional messages, but essential service communications may still be sent.
21. Moderation, Suspension and Termination
MSL may investigate, remove content, restrict features, place payment holds, suspend, or terminate an account where there is a suspected violation, fraud, safety concern, legal risk, non-payment, or technical threat.
Where appropriate, notice and an opportunity to respond may be provided. Immediate action may be taken when necessary to protect users, funds, evidence, systems, or legal rights.
22. Service Availability and Changes
MSL may update, replace, limit, suspend, or discontinue features. MSL does not guarantee uninterrupted access, permanent storage, particular search placement, sales volume, website traffic, or continued availability of any specific tool.
Locker Owners should keep independent copies of photographs, descriptions, transaction records, appraisals, and other important information.
23. Disclaimers
To the maximum extent permitted by law, the services are provided on an “as is” and “as available” basis. MSL does not guarantee that every listing, member, value estimate, message, transaction, or third-party service is accurate, lawful, available, authentic, secure, or suitable for a particular purpose.
Nothing in this agreement excludes warranties, conditions, rights, or remedies that cannot legally be excluded.
24. Limitation of Liability
To the maximum extent permitted by law, MSL and its directors, officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, opportunity, goodwill, data, collection value, or business.
No limitation applies where liability cannot legally be limited. Any final aggregate liability cap must be approved by legal counsel after the operating, insurance, payment, and fee structures are confirmed.

25. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless MSL and its representatives from third-party claims, losses, liabilities, damages, costs, and reasonable legal fees arising from your content, listings, items, transactions, breach of this agreement, violation of law, infringement of rights, or misuse of the services.
26. Governing Law and Dispute Resolution
This agreement is governed by the laws of Ontario and the federal laws of Canada applicable in Ontario.
Before formal proceedings, the parties should attempt in good faith to resolve a dispute through written notice and reasonable discussion. Court proceedings will be brought in a court of competent jurisdiction in Ontario, subject to any non-waivable consumer right to proceed elsewhere.
27. Changes to These Terms
MSL may update these terms to reflect changes in services, fees, law, security, risk, or business practices. Revised terms will be posted with an updated date. Material changes may also be communicated by email, account notice, or prominent website notice.
Where required by law, consent will be obtained or an opportunity to cancel will be provided before a material change takes effect.
28. General Legal Terms
- Assignment: You may not assign your account or agreement without written approval. MSL may assign its rights as part of a financing, restructuring, sale, or transfer of business, subject to law.
- Severability: If any provision is unenforceable, it will be limited or removed only to the extent necessary.
- No Waiver: Failure to enforce a provision is not a waiver.
- Force Majeure: MSL is not responsible for delay caused by events reasonably outside its control, subject to applicable law.
- Entire Agreement: These terms and incorporated policies form the general agreement concerning use of the services, except where a signed agreement governs a specific subject.
- Electronic Records: Electronic acceptance, notices, signatures, and records may be used where permitted by law.

Schedule A — Responsibilities
Locker Owner Responsibilities
- Provide truthful identity, contact, tax, banking, and account information.
- Maintain accurate descriptions, photographs, prices, and condition details.
- Offer only lawful items the Locker Owner owns or is authorized to sell or trade.
- Disclose reproductions, alterations, defects, missing components, and authenticity uncertainty.
- Package, ship, communicate, and respond to disputes professionally and on time.
- Protect account credentials and immediately report suspected unauthorized access.
- Respect other collectors and follow Marketplace Rules and Community Guidelines.
- Pay applicable fees and satisfy personal tax and reporting obligations.
- Maintain independent backups of important collection and transaction information.
- Obtain MSL approval before transferring a Locker, account, QR code, Founder status, or related benefit.
My Sports Lockers Inc. Commitments
- Provide access to the approved Locker and available platform tools.
- Maintain reasonable administrative, technical, and physical safeguards.
- Publish applicable fees, transaction rules, and material policy changes.
- Provide reasonable member support and a process for reporting disputes or policy concerns.
- Handle personal information according to the Privacy Policy and applicable Canadian law.
- Review material reports of fraud, counterfeit items, or misconduct in good faith.
- Respect approved Locker privacy settings, subject to security, support, legal, and administrative requirements.
- Provide reasonable notice of material service or agreement changes where required.
Agreement Priority
If a separate signed Founder Agreement, Locker Owner Agreement, Fee Schedule, or transaction policy conflicts with these general terms, the more specific signed or published document governs that subject to the extent of the conflict.

Schedule B — Program and Marketplace Standards
Founder Program Terms
Founder selection, trial participation, recognition, special fees, transferability, advisory opportunities, suspension, and reinstatement are governed by the separate Founder Agreement. Founder status does not create ownership in My Sports Lockers Inc.
Digital Locker Rules
The Locker Owner must select suitable privacy settings, keep information accurate, protect sensitive details, and avoid using the Locker for unlawful, misleading, infringing, or prohibited purposes.
QR Code and Promotional Tool Policy
QR codes, Locker links, badges, business cards, and related tools may only identify the approved Locker. They must not be altered, duplicated deceptively, redirected without approval, or used to imply unauthorized corporate endorsement.
Collection Ownership, Legacy and Estate Transfer
The Locker Owner retains ownership of physical collection items. The Locker can preserve collection history and legacy, but it does not replace a will, trust, appraisal, insurance policy, or estate plan. Transfers require prior written corporate approval.
Buyer and Seller Standards
- All parties must communicate honestly, respectfully, and through approved channels.
- Buyers must pay promptly and provide accurate delivery information.
- Sellers must accurately describe items, disclose defects, package safely, and ship on time.
- No counterfeit, stolen, prohibited, recalled, unsafe, or unlawfully marketed item may be offered.
- Transactions must follow approved payment, shipping, return, and dispute procedures.
Collection Value and Legacy
Locker tools may help a member organize a collection, understand potential value, create a personal collecting legacy, and prepare information that may be passed to future generations. No automated total or displayed estimate is a certified appraisal or guarantee.

By signing below, the Locker Owner confirms that they have received, read, understood, and agreed to the Terms of Use and Locker Owner Agreement, including all incorporated policies and schedules in effect on the date signed.

- The Locker Owner has received a complete copy of the My Sports Lockers Inc. Terms of Use and Locker Owner Agreement.
- The Locker Owner confirms that the Agreement has been read and understood.
- The Locker Owner confirms having had the opportunity to ask questions before signing.
- The Locker Owner agrees to comply with the Marketplace Rules, Privacy Policy, Fee Schedule, Shipping Policy, Returns and Refunds Policy, Community Guidelines, and other incorporated policies.
- My Sports Lockers Inc. accepts the Locker Owner into the marketplace subject to approval, continued eligibility, and ongoing compliance.
- Where permitted by applicable Canadian law, electronic signatures and electronically accepted agreements have the same legal effect as handwritten signatures.
- This Agreement has an original effective date of June 27, 2026 and becomes binding on the individual Locker Owner on the date it has been signed by both the Locker Owner and My Sports Lockers Inc.
